[*] Scope of Service:

(1) Vendor needs to provide corporate counsel legal services to the government authority located in Washington, DC.
- as a governmental entity (e.g., when conducting procurements that are consistent with the principle of "full and open competition," or when adopting rules governing the expressive activities in which persons may engage at the Airports);
- as a corporate entity (e.g., when engaging generally in commercial matters such as
acquiring and disposing of real estate, administering and enforcing contracts, acquiring
insurance and undertaking other risk mitigation activities, or addressing issues arising in
bankruptcy proceedings involving airline debtors);
- as an operator of the Airports (e.g., when complying with federal statutes and regulations
applicable directly and solely to domestic airports. or when participating in federal
administrative proceedings affecting the Airports or as a federal grant recipient); and
- as an entity established by and operating pursuant to an interstate compact (e.g., when
determining whether the Authority, as the creation of an interstate compact, is subject to
laws that are applicable to non-compact government bodies).
- These types of matters involving the Authority present a wide array of legal issues as to which the selected law firm or firms may be asked to provide advice, opinions, and other assistance. As examples, the firm may be asked to address issues and provide services related to any the following:
- protests in connection with Authority procurements;
- disputes arising under Authority contracts for goods and services and for construction at the
Airports;
- the Authority 's compliance with requirements set by federal grants;
- the coverages and exclusions provided in Authority insurance policies;
- transactions involving Authority real estate
- questions arising from the status of the Authority as an interstate compact entity (e.g., whether it is subject to federal and Virginia laws relating to open meetings and to benefits for police and fire personnel.
(2) A pre proposal conference will be held on June 5, 2023.
(3) All question must be submitted no later than June 12, 2023.
