[A] Budget: Looking for proposal

[B] Scope of Service:

Vendor needs to provide development legal services to the government authority located in East St. Louis, IL.
1.Advising agency in the negotiation and drafting of one or more master developer agreements with agency procured developer partner and any future developer partners;
2. Representing and protecting agency interest in the selection and negotiations of terms with developer contracted entities including design, construction, management and financing partners;
3. Providing legal representation and/or advice associated with ESLHA’s development projects, funded by multiple and various funding sources;
4. Providing all necessary advice and documents to form required limited liability companies and/or affiliates/instrumentalities as needed and recommended;
5. Evaluating the legal practicality of the development and management structure;
6. Investigating the legality of the proposed financial structures to ensure that they efficiently use the Housing Authority’s and HUD’s resources, both in terms of leveraging other funds and in minimizing the Housing Authority’s and HUD’s total financial outlay and risks;
7. Providing the Housing Authority with an analysis of the legal implications of the proposed approach, including ownership, financial and management structure;
8. Advising the Housing Authority about strategies for development designed to leverage federal dollars with other resources and associated impacts on ESLHA;
9. Advising and assisting the Housing Authority with the acquisition and/or disposition process;
10. Representing and/or advising the Housing Authority as regards its role in forming developing, constructing, owning and operating 9% and 4% LIHTC units and HUD funded housing with or without a developer partner;
11. Providing the Housing Authority with legal options and/or recommendations for achieving program goals;
12. Assisting with the drafting, review and negotiation of the following development documents to ensure the best business terms for ESLHA. These documents include, but are not necessarily limited to, the following:
• Mixed Finance Development Proposal and/or Homeownership Term Sheet, Project Based Voucher • Subsidy Layering Review submission, and Evidentiary Documents. • Partnership/Operating Agreement and all related syndication documents • Property Management Documents. • Mixed Finance ACC Amendment. • Regulatory and Operating Agreement. • Declaration of Restrictive Covenants. • Partial Release from Declaration of Trust. • PHA Certification. • Counsel Opinion and Certificate of No Change. • Development Services Agreement. • Financing Documents, including documents for any financing provided by the Housing Authority for the project, such as loan agreements, notes and mortgages for both construction period and permanent loan sources. • Real estate ownership and transfer documents. • Contract documents. • All required HUD evidentiary documents. • Recordation of all required documents. • Coordinating and managing the HUD evidentiary submissions as required

Performance of the work will be Offsite. Vendor needs to carry work in their office location.
